Abstract

In this small study we delve into a classic theme of Commercial Company Law, often dissected by highly trained scholars, so we will not be obsessed with originality and try to rediscover the wheel [and even less try to confirm that the wheel is square] . Rather, it motivates us to offer a practical and pragmatic dimension of the issue, seeking to deconstruct myths and ambiguous exegeses, having as our desideratum the most pertinent guidelines for corporate governance, seeking to construct a simple roadmap that allows us to uncover a topic that often navigates in the mists of legality.
